You shall cooperate as fully as reasonably required in the defense of any such claim. ECHELON Partners reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

This Agreement is governed and interpreted pursuant to the laws of the State of California, United States of America, notwithstanding any principles of conflicts of law. You expressly agree that exclusive jurisdiction resides in the courts of the State of California. You further agree and expressly consent to the exercise of personal jurisdiction in the State of California in connection with any dispute or claim involving ECHELON Partners. If any part of these terms is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

 

Business Continuity Plan

As ECHELON Capital Partners LLC is a member of Financial Industry Regulations Association (www.finra.org) and SIPC (www.sipc.org), we are required to offer the following notifications:

ECHELON Capital Partners has developed a Business Continuity Plan (BCP) on how we will respond to events that significantly disrupt our business. Since the timing and impact of disasters and disruptions is unpredictable, we will have to be flexible in responding to actual events as they occur. With this in mind, we are providing you with this information on our BCP. If after a significant business disruption you cannot contact us as you usually do at 888-560-9027, or by email to an officer of the firm, you should go to our website at www.echelon-group.com where we may post critical information.

We plan to recover quickly and resume business operations after a significant business disruption and respond by safeguarding our employees, property, books and records, and allowing our clients to transact business. In short, our BCP is designed to permit our firm to resume operations as quickly as possible, given the scope and severity of the significant business disruption. The BCP addresses: data backup and recovery; all mission critical systems; financial and operational assessments; alternative communications with clients, employees, and regulators; alternate physical location of employees; critical supplier, contractor, bank and counter-party impact; regulatory reporting; and providing assurances to our clients that we will continue to serve them during such disruptions.

Significant business disruptions can vary in their scope, such as only our firm, a single building housing our firm, the business district where our firm is located, the city where we are located, or the whole region. Within each of these areas, the severity of the disruption can also vary from minimal to severe. In a disruption to only our firm or a building housing our firm, we will transfer our operations to a local site when needed and expect to recover and resume business within 24 hours. In a disruption affecting our business district, city, or region, we will transfer our operations to a site outside of the affected area, and recover and resume business within one to two days. In either situation, we plan to continue in business and notify you through our web site at www.echelon-group.com or our emergency number, 888-560-9027, as to how to contact us. If the significant business disruption is so severe that it prevents us from remaining in business, we will assure our customers’ prompt access to any relevant documents.
